By accessing or using the Carib Radio website, mobile application, or any related services, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not use the platform.

1. ABOUT CARIB RADIO

1.1 Carib Radio is owned and operated by NuVision Media LLC, a company organized and existing under the laws of [Wyoming, USA] ("Company," "we," "us," or "our").

1.2 Carib Radio is a Caribbean media platform that provides the following services:

(a) Live streaming of licensed Caribbean radio stations;

(b) Live audio and video broadcasting for clients using third-party API technology;

(c) Podcast hosting, storage, and playback for clients who create and own their podcast content;

(d) A curated directory of hyperlinks to publicly available Caribbean newspaper websites.

2. ACCEPTANCE OF TERMS

2.1 By creating an account, downloading the Carib Radio mobile application, or accessing any part of our platform, you confirm that:

(a) You are at least 13 years of age, or the age of majority in your jurisdiction, whichever is greater;

(b) You have the legal capacity to enter into a binding agreement;

(c) You have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any other policies or guidelines posted on the platform.

2.2 If you are using the platform on behalf of an organization or business, you represent that you have the authority to bind that organization to these Terms and Conditions.

2.3 We reserve the right to update or modify these Terms and Conditions at any time. We will notify users of material changes by posting a notice on the platform or by email. Your continued use of the platform after any change constitutes your acceptance of the revised Terms and Conditions.

3. SERVICES DESCRIPTION

3.1 Radio Streaming

Carib Radio provides live, real-time audio streaming of licensed Caribbean radio stations. All radio stations featured on the platform are included pursuant to written licensing agreements between Carib Radio and the respective station owners. We do not download, store, or permanently copy any radio broadcast. Streaming is delivered in real time and is not saved to any user device, except for standard temporary buffering required for playback.

3.2 Live Streaming Services

Carib Radio offers live audio and video broadcasting capabilities to registered clients through a licensed third-party API. Live streams are initiated and controlled by the client broadcasting the content. Carib Radio acts solely as a conduit for transmission and does not create, edit, or take responsibility for live stream content generated by clients.

3.3 Podcast Hosting and Playback

Carib Radio provides podcast hosting, storage, and on-demand playback services to clients who are the creators and owners of their podcast content. Clients upload their own original content to the platform and retain ownership of that content. Carib Radio stores and delivers that content solely as a technical service provider.

3.4 Caribbean Newspaper Directory

Carib Radio maintains a curated directory of hyperlinks to publicly accessible Caribbean newspaper websites. This feature does not host, reproduce, copy, scrape, or stream any newspaper content. Tapping or clicking a link directs the user to the newspaper's own website. Carib Radio is not responsible for the content, accuracy, or availability of any third-party website accessed through this directory.

4. USER ACCOUNTS

4.1 To access certain features of the platform, you may be required to create a user account. You agree to provide accurate, current, and complete information during registration and to update your information as necessary.

4.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.3 You agree to notify us immediately at support@caribradio.live. if you become aware of any unauthorized use of your account or any other security breach.

4.4 We reserve the right to suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms and Conditions or that your account is being used for any unauthorized or illegal purpose.

5. CLIENT ACCOUNTS AND OBLIGATIONS

5.1 Clients who use the live streaming or podcast hosting features of the platform ("Clients") are subject to additional terms outlined in their individual service agreements with Carib Radio.

5.2 Clients represent and warrant that all content they upload, broadcast, or otherwise transmit through the platform:

(a) Is owned by them or they have obtained all necessary rights, licenses, and permissions to use and distribute that content;

(b) Does not infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party;

(c) Does not violate any applicable local, national, or international law or regulation;

(d) Is not defamatory, obscene, abusive, threatening, harassing, or otherwise objectionable.

5.3 Carib Radio reserves the right to remove any client content that violates these Terms and Conditions or that we determine, in our sole discretion, poses a legal or reputational risk to the platform.

6. INTELLECTUAL PROPERTY

6.1 All content, software, design, graphics, logos, trademarks, and other materials on the Carib Radio platform that are not user-generated or third-party content are owned by or licensed to Carib Radio and are protected by applicable intellectual property laws.

6.2 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purposes. This license does not grant you any right to:

(a) Copy, reproduce, distribute, or create derivative works based on platform content without our express written permission;

(b) Use any Carib Radio trademarks, logos, or branding for any purpose without our express written permission;

(c) Reverse engineer, decompile, or disassemble any part of the platform's software or technology.

6.3 Radio station names, logos, and broadcast content remain the intellectual property of the respective station owners and are used by Carib Radio pursuant to written licensing agreements.

6.4 Podcast content uploaded by Clients remains the intellectual property of those Clients. By uploading content to the platform, Clients grant Carib Radio a non-exclusive, worldwide, royalty-free license to store, host, and deliver that content to authorized users of the platform for the duration of the Client's service agreement.

7. DMCA NOTICE AND TAKEDOWN POLICY

7.1 Carib Radio respects the intellectual property rights of others and expects users and clients to do the same. We comply with the Digital Millennium Copyright Act of 1998 ("DMCA").

7.2 If you believe that content available on the Carib Radio platform infringes your copyright, you may submit a written notice to our designated DMCA agent containing the following information:

(a) A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

(b) Identification of the copyrighted work claimed to have been infringed;

(c) Identification of the material that is claimed to be infringing and information reasonably sufficient to allow us to locate the material on the platform;

(d) Your contact information, including your address, telephone number, and email address;

(e) A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

(f) A statement, made under penalty of perjury, that the information in your notification is accurate, and that you are the copyright owner or authorized to act on the copyright owner's behalf.

7.3 DMCA notices must be submitted to:

7.4 Upon receiving a valid DMCA notice, we will remove or disable access to the allegedly infringing material and notify the affected user or client. Users or clients who believe their content was wrongfully removed may submit a counter-notification in accordance with the DMCA.

7.5 Carib Radio reserves the right to terminate the accounts of repeat copyright infringers.

8. PROHIBITED CONDUCT

You agree that you will not:

(a) Use the platform for any unlawful purpose or in violation of any applicable law or regulation;

(b) Attempt to record, capture, download, or permanently store any radio stream, live stream, or podcast content without express written authorization from the content owner;

(c) Use any automated tool, bot, scraper, or crawler to access, collect, or monitor any part of the platform;

(d) Attempt to circumvent, disable, or interfere with any security features or access controls on the platform;

(e) Upload or transmit any malware, viruses, or other harmful code;

(f) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

(g) Collect or harvest personal information of other users without their consent;

(h) Use the platform in any manner that could damage, disable, overburden, or impair the platform's infrastructure;

(i) Engage in any conduct that restricts or inhibits any other user's ability to use the platform.

9. THIRD-PARTY CONTENT AND LINKS

9.1 The platform includes links to third-party websites, including Caribbean newspaper websites accessible through our directory feature. These links are provided for user convenience only.

9.2 Carib Radio does not host, endorse, control, or take responsibility for the content, accuracy, legality, or availability of any third-party website.

9.3 Your access to and use of any third-party website is governed by that website's own terms and conditions and privacy policy. Carib Radio is not liable for any loss or damage caused by your use of or reliance on any third-party website.

9.4 Radio station content is streamed pursuant to licensing agreements. Carib Radio does not claim ownership over any radio broadcast content and streams it solely as an authorized intermediary.

10. DISCLAIMER OF WARRANTIES

10.1 THE CARIB RADIO PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CARIB RADIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

10.3 CARIB RADIO DOES NOT WARRANT THAT:

(a) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;

(b) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE;

(c) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED;

(d) THE PLATFORM WILL BE COMPATIBLE WITH YOUR DEVICE OR SOFTWARE.

11. LIMITATION OF LIABILITY

11.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CARIB RADIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR DEVICE DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND CONDITIONS OR YOUR USE OF THE PLATFORM.

11.2 IN NO EVENT SHALL CARIB RADIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CARIB RADIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

11.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF CERTAIN LIABILITIES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Carib Radio and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of the platform;

(b) Your violation of these Terms and Conditions;

(c) Your violation of any third-party right, including any intellectual property right, privacy right, or contractual right;

(d) Any content you upload, broadcast, or otherwise transmit through the platform.

13. TERMINATION

13.1 These Terms and Conditions are effective until terminated. We may suspend or terminate your access to the platform immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions.

13.2 Upon termination, your right to use the platform will immediately cease. All provisions that by their nature should survive termination will survive, including but not limited to Sections 6, 7, 10, 11, 12, 14, 15, and 16.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Wyoming, USA, without regard to its conflict of law principles.

14.2 Any dispute arising out of or relating to these Terms and Conditions or your use of the platform shall first be subject to good-faith negotiation for thirty (30) days. If not resolved, the dispute shall be submitted to binding arbitration under the rules of the Arbitration Body in Wyoming, USA conducted in the English language. Judgment on the award may be entered in any court of competent jurisdiction.

14.3 Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

15. GENERAL PROVISIONS

15.1 Entire Agreement. These Terms and Conditions, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Carib Radio with respect to the platform and supersede all prior agreements and understandings.

15.2 Severability. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver. Our failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision.

15.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations without restriction.
